Terms and Conditions for Vendor registration with The Bulk Cart USA

Product Quality and Standards:

Vendors must provide top-quality products that meet stringent standards of the USA. All products must adhere to the prevailing market regulations and quality benchmarks. Vendors are responsible for ensuring their products align with current market demand. Product Liability and Compliance:

Vendors are solely responsible for their products' quality, safety, and compliance with relevant laws and regulations in the USA. The Bulk Cart reserves the right to discontinue listing any product that poses a safety concern or fails to meet legal requirements.

Custom Clearance Support:

The Bulk Cart team can assist if the vendor needs customs clearance assistance. However, customs clearance charges and import duties are to be billed to the shipper.

B2B Marketplace Participation:

Vendors agree to list their products on The Bulk Cart's B2B marketplace at www.thebulkcart.com. Products will be visible to worldwide buyers as they are ready to ship from the USA.

Product Documentation:

The vendor must provide certificates, high-resolution pictures of manufacturing units, and any other marketing content that helps to promote the products

Sustainable Initiatives:

Vendors are encouraged to share their sustainable initiatives. The Bulk Cart team will use this for marketing your products Warehouse Facility

The Bulk Cart provides free warehouse storage for  6 months from the arrival. After 6 months, the storage facility will cost USD 15 per pallet per month.

Sales and Fees:

For products sold through www.thebulkcart.com,  the shipper will charge 1% of the invoice value. If not through www.thebulkcart.com, the shipper will be charged $15 for order processing, irrespective of the invoice value.

Order Processing:

When an order is received, The Bulk Cart team will send a pre-shipment sample to the buyer. Once the buyer confirms the quality, The Bulk Cart team will process the order. If the buyer requires credit terms, The Bulk Cart will only approve this if the vendor agrees to supply on a credit basis.

Payment Processing:

Upon receiving payment from the buyer, The Bulk Cart will initiate the process of remitting the payment to the vendor through a bank transfer. This transaction will be completed within 14 days from the moment The Bulk Cart receives payment from the buyer.

Returns and Refunds: 

Vendors agree to abide by The Bulk Cart's return and refund policy. In case of returns, the vendor will be responsible for the return shipping costs and any associated charges. Intellectual Property

Vendors affirm that they have the necessary rights and permissions to use any intellectual property (trademarks, logos, etc.) associated with their products. The Bulk Cart is not liable for any trademark or copyright infringements caused by the vendor's products.

Product Availability and Stock:

Vendors are responsible for ensuring adequate stock availability to fulfil orders. The Bulk Cart may temporarily suspend or remove products from the marketplace if stock levels are insufficient.

Duration and Amendment:

These terms and conditions are effective from the date of the agreement and may be amended by mutual consent between the vendor and The Bulk Cart.

By engaging in a partnership with The Bulk Cart, vendors agree to these terms and conditions and commit to ensuring a successful collaboration for distributing their products in the global market.

Confidentiality:

Both parties agree to keep any proprietary or sensitive information shared during this partnership confidential and not to disclose it to any third party without prior written consent.

Termination of Partnership:

Either party may terminate this partnership with written notice if these terms and conditions are breached. The Bulk Cart may terminate the partnership if vendor products consistently fail to meet quality standards.

Indemnification:

Vendors agree to indemnify and hold harmless The Bulk Cart, its affiliates, and employees from any claims, losses, damages, or liabilities arising from the sale or distribution of their products.

Governing Law and Dispute Resolution:

This agreement shall be governed by and interpreted in accordance with the laws of the USA. Any disputes arising from this agreement will be resolved through arbitration in accordance with the rules of a recognized arbitration body.

Severability:

If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Insurance:

Vendors are encouraged to maintain appropriate insurance coverage for their products, including liability insurance, to safeguard against any potential claims arising from product defects, damages, or other issues.

Product Recalls:

In the event of a product recall, vendors are responsible for promptly notifying The Bulk Cart and taking necessary actions as per regulatory requirements. The Bulk Cart will support the vendor's efforts to address recalls effectively.

Relationship of Parties:

This agreement does not create any joint venture, partnership, agency, or employment relationship between the parties. Both parties are independent entities.

Amendment and Modification:

Any amendments or modifications to this agreement must be made in writing and signed by authorised representatives of both parties.

Currency and Language:

All monetary amounts referenced in this agreement are in USD (United States Dollars). This agreement is drafted in English, and in case of any discrepancy in translations, the English version shall prevail.

Compliance with Laws:

Both parties agree to comply with all applicable laws, regulations, and industry standards for their activities under this agreement.

Acceptance of Terms:

By entering into this partnership, both parties acknowledge that they have read, understood, and agreed to all the terms and conditions outlined in this agreement
